Agreement of Cooperation

|
The present Agreement of Cooperation constitutes a public offer (proposal) of International Financial Community Limited, addressed to a legal entity or natural person, conducting entrepreneurial activity without forming a legal entity (individual entrepreneur, private entrepreneur, etc.), registered and operating pursuant to the legislation of the country of its registration under the terms and conditions set forth hereinafter. The present Offer shall be considered accepted upon the registration on the website of International Financial Community Limited, located at the address: https://www.internationalfinancialcommunity.com/ .

Terms and definitions
Company shall mean International Financial Community Limited, registered and operating pursuant to the legislation of the British Virgin Islands, registration number is 1491371.
Agreement of cooperation (Agreement) shall mean the present public offer regulating the terms and conditions of participation in WellMax Program, not requiring the Parties' signatures and entering into force upon the Trade Partner's registration in WellMax Program and remaining in force for an indefinite period.
WellMax Program (Program) shall mean the program constituting a long-term cooperation between the Trade Partner and the Company for promotion of the Trade Partner's goods and services.
Trade Partner shall mean a participant of the WellMax Program, a legal entity or natural person, conducting entrepreneurial activity without forming a legal entity (individual entrepreneur, private entrepreneur, etc.), registered and operating pursuant to the legislation of the country of its registration, accepting the terms and conditions of the present Agreement of Cooperation, registered in the WellMax Program and having an access to the Personal Account.
Trade Partner's Personal Account shall mean the page on the Company's website located at https://www.internationalfinancialcommunity.com/, containing information about the Trade Partner and the Company services, allowing the Trade Partner to interact with the service of the Company, and manage these services using a login and a password of the Trade Partner.
In order to operate its Personal Account the Trade Partner shall have an access to the Internet. The Trade Partner may access the Trade Partner's Personal Account using any technical device allowing access to the Internet.
Buyer shall mean a natural person purchasing goods (services) of the Trade Partner and providing the Trade Partner with his/her WellMax discount record ID.
The Identification number of WellMax discount record of the Buyer (the Buyer's WellMax discount record ID, the Buyer's WellMax ID) shall mean the Buyer's number of WellMax discount record, allowing the Buyer to purchase goods (services) of the Trade Partner at the lowest prices and/or receive discounts on goods (services) of the Trade Partner, if available, when the Buyer's WellMax ID is provided by the Buyer to the Trade Partner in any service point of the Trade Partner.
Parties (Party) mean the principals to the present Agreement, which are International Financial Community Limited and the Trade Partner accepting the present Offer, when referred to collectively or individually, respectively.

1. Subject Matter of WellMax Program
For the purpose of the present Agreement, the Trade Partner undertakes to sell its goods (services) to the Buyer at the lowest prices, available in its service points (stores, cafes, restaurants, etc.), where the Trade Partner sells its goods (services), upon the Buyer's provision of his/her WellMax discount record ID to the Trade Partner's authorized representative, and the Company undertakes to render services on advertising of the Trade Partner as well as the Trade Partner's goods (services) via WellMax Discount mobile application, including publishing information about the Trade Partner, which the Trade Partner provides upon its registration at https://www.internationalfinancialcommunity.com/, subject to the terms and conditions hereof.
The Parties build their relationships on the basis of partnership and undertake to consider the mutual interests in relationships with each other and the third parties.

2. Program Entrance and Registration
The requirements for participation in WellMax Program are as follows:
- To read and confirm the terms and conditions of the present Agreement of cooperation
- Register on the website at https://www.internationalfinancialcommunity.com/.

3. The Parties' rights
|
|
The Trade Partner shall be entitled to:
3.1. Familiarize with the terms and conditions of participation in the Program and receive information about amendments to the Program as well as about conducted campaigns on the Company's website and/or in the Personal Account.
|
|
3.2. Receive services on placement of the Trade Partner's information as well as on advertising its goods (services) via WellMax mobile application. For placement of the advertising specified in the present subclause, the Company shall be entitled to independently define format and size of the promotional materials about the Trade Partner and/or its goods (services).

|
The Company shall be entitled to:
3.3. Receive correct information about the Trade Partner upon its registration at https://www.internationalfinancialcommunity.com/.

|
3.4. Contact the Trade Partner for specifying its details necessary for registration as well as for fulfillment of the terms and conditions of the Program.
|
|
3.5. Request information and/or documents from the Trade Partner, necessary for its identification in the Company's database (including registrational number, name, etc.)
|
|
3.6. In case of complaints from the Buyers, reveal of incorrect information provided by the Trade Partner upon its registration at https://www.internationalfinancialcommunity.com/, made by the Company, as well as breach of the terms and conditions hereof by the Trade Partner, the Company shall be entitled to exclude the Trade Partner from the Program at any time and unilaterally terminate the present Agreement with the Trade Partner with prior notification of the Trade Partner about exclusion.

4. Exchange of messages and interaction between the Parties.
|
|
4.1. On the part of the Company, interaction with the Trade Partners is conducted by the Company's employees and/or authorized representatives by means of e-mail, via the Trade Partner's Personal Account, by phone, post and delivery services using the contact details and addresses, specified by the Trade Partner upon its registration at https://www.internationalfinancialcommunity.com.

4.2. Any notifications hereunder may be sent by one Party to the other Party:
1) by e-mail (at the e-mail address of the Trade Partner specified upon its registration)
2) at the e-mail address of the Company specified in clause 6 of the Agreement from the e-mail address of the Trade Partner specified upon its registration;
3) the Company shall be entitled to send all notifications and messages to the Trade Partner via the Trade Partner's Personal Account. Such notification shall have full force and effect.
4) by post with return receipt requested or by courier service with delivery confirmation

5. Termination and amendments of the Agreement
|
|
5.1. The Agreement shall become effective as from the date of its terms and conditions acceptance by the Trade Partner (acceptance of the Offer) and shall remain in force up to its termination or otherwise expiration envisaged in the Agreement.

|
5.2. The Trade Partner agrees and acknowledges that introducing amendments to the Agreement and publishing of its new version shall entail amendment of the terms and conditions of the Agreement entered into and between the Trade Partner and the Company. Should upon the expiration of 5 (five) business days as from the date of publishing of a new version of the Agreement the Trade Partner fail to send its refusal to accept the amended terms and conditions of the Agreement to the Company, such amended terms and conditions of the Agreement shall be considered accepted by the Trade Partner.

5.3. Each of the Parties may unilaterally terminate the present Agreement sending a termination notice to the other Party. As from the date of the Agreement termination the Trade Partner shall cease its participation in the Program. Should the Trade Partner, which has previously terminated the present Agreement, re-enter the Program, the decision about the Trade Partner's admission to the Program shall be taken at the Company's discretion.
As from the date of the present Agreement termination information about the Trade Partner shall be eliminated from WellMax mobile application and all accounting records such as the Trade Partner's Personal Account and other shall be blocked.

5.4. All action taken by the Trade Partner in the Personal Account shall be deemed personally committed by the Trade Partner and are legally valid.
|
|
5.5. Meaning of the terms and definitions set forth herein shall not be amended due to their use in singular or in plural in the text hereof.
|
|
5.6. In case of difference between the Russian and English versions of the Agreement, the English version shall prevail.
